Donald Lam’s practice focuses on advising small privately held businesses and individuals in business formation, commercial transactions, merger and acquisitions and technology licensing matters. He speaks fluent Chinese (Cantonese).
Donald represents businesses in a wide range of matters, including business formation, subsidiary structure, dispute response and resolution, executive and deferred compensation agreements, equity grants, stock appreciation rights, and contract matters. He additionally assists clients through the preparation of shareholder and “buy-sell” agreements, LLC agreements, and shareholder/owner buy-outs.
Much of Donald’s practice is devoted to mergers and acquisitions representation; typically in transactions ranging from several hundred thousand dollars to $10 million or more. In these matters he represents clients from the letter of intent stage through transaction structure, due diligence, and agreement and schedule preparation.
